General terms and conditions

Definitions

Mori: The trade name/brand under which the products (lamps) are offered.

Olle: The business entity legally responsible for the sale of products under the name Mori, registered with the Dutch Chamber of Commerce under number 84892420, with its statutory seat in ’s-Hertogenbosch, the Netherlands.

Article 1 – Applicability of the General Terms and Conditions

  1. These terms and conditions apply to all offers, quotations, activities, orders, agreements, and deliveries of products or services by or on behalf of Olle.

  2. Parties may only deviate from these terms and conditions if such deviation has been explicitly agreed upon in writing.

  3. The applicability of any supplementary and/or deviating general terms and conditions of the customer or of third parties is expressly excluded.

Article 2 – Prices

  1. All prices used by Olle are in euros, inclusive of VAT, and exclusive of any additional costs such as administrative fees, levies, or travel, shipping, or transport expenses, unless expressly stated otherwise or agreed otherwise.

  2. All prices stated by Olle for its products—on its website or otherwise made known—may be changed by Olle at any time.

Article 3 – Payments and Payment Terms

Products are paid for directly in-store. Olle may require a down payment of up to 50% of the agreed amount.

Article 4 – Consequences of Late Payment

If the customer fails to pay within the agreed term, Olle is entitled to charge the statutory interest of 2% per month on non-commercial transactions from the day the customer is in default, whereby part of a month shall be considered a full month.

Article 5 – Right of Withdrawal

  1. A consumer may cancel an online purchase within a cooling-off period of 14 days without stating any reason, provided that the product has not been used and is not a product made specifically to order for the customer.

  2. For lamps that are made to order and custom-crafted for the customer (for example, based on specifications, dimensions, colour, design, or material choice provided by the customer), the right of withdrawal does not apply.

  3. By placing an order for a made-to-order lamp, the customer explicitly acknowledges and agrees that such an order constitutes an exception to the right of withdrawal.

  4. For all other (standard) products, the right of withdrawal remains applicable as described above.

Article 6 – Retention of Ownership

Olle retains ownership of all delivered products until the customer has fulfilled all payment obligations towards Olle in full.

Article 7 – Delivery

Delivery takes place while stocks last. Delivery occurs at Olle’s premises, unless otherwise agreed between the parties.

Article 8 – Indemnification

The customer indemnifies Olle against all claims from third parties related to the products and/or services supplied by Olle.

Article 9 – Complaints

The customer must inspect any product or service delivered by Olle as soon as possible for potential defects.
If a delivered product or service does not meet what the customer could reasonably expect under the agreement, the customer must notify Olle as soon as possible — and in any case within one month after discovering the shortcoming.

Article 10 – Applicable Law and Competent Court

All agreements between the parties are governed exclusively by Dutch law.
The Dutch court in the district where Olle is established shall have exclusive jurisdiction over any disputes between the parties.
